Terms and Conditions
Effective date: March 9, 2026
Please read these Terms and Conditions ("Terms") carefully before using the iDocThis web portal and any related services (collectively, the "Service") operated by iDocThis Inc. ("iDocThis," "we," "us," or "our").
By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years of age to create an account and use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of the Service
iDocThis is a healthcare document management portal that allows authorized account holders ("Users") to store, organize, and selectively share medical, educational, and legal documents and records for themselves or individuals in their care ("Patients"). The Service is intended as a personal record-keeping tool and is not a substitute for professional medical, legal, or financial advice.
3. Account Registration and Security
- You agree to provide accurate, current, and complete information when registering for an account.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must notify us immediately at support@idocthis.com if you suspect unauthorized access to your account.
- We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Upload, store, or share any content that is unlawful, harmful, defamatory, obscene, or that violates any third-party rights.
- Use the Service to store or transmit content that violates applicable healthcare privacy laws, including HIPAA, beyond what is permitted for personal record-keeping.
- Attempt to gain unauthorized access to any part of the Service, our servers, or any systems or networks connected to the Service.
- Use automated scripts, bots, or other means to access the Service in a manner that imposes an unreasonable load on our infrastructure.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Impersonate another person or entity, or misrepresent your affiliation with any person or entity.
- Upload files containing viruses, malware, or any other malicious code.
5. Your Content
You retain ownership of all documents, files, records, and other content you upload or create within the Service ("Your Content"). By uploading Your Content, you grant iDocThis a limited, non-exclusive, royalty-free license to store, process, and transmit Your Content solely as necessary to provide the Service to you.
You are solely responsible for Your Content and the accuracy, legality, and appropriateness of all information you enter. iDocThis does not review, verify, or endorse any content you store in the Service.
6. Sharing Features
The Service includes optional features that allow you to share specific patient records with designated third parties (e.g., healthcare providers, school administrators). You are solely responsible for determining who you share records with and ensuring that sharing complies with applicable law. iDocThis is not responsible for any consequences resulting from records you choose to share.
7. Not a Medical or Legal Service
The Service is a document storage and organization tool only. Nothing in the Service constitutes medical advice, diagnosis, treatment recommendations, legal advice, or any other professional advice. Always consult a qualified healthcare provider for medical decisions and a licensed attorney for legal matters. iDocThis is not a covered entity or business associate under HIPAA with respect to your personal record-keeping activities.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand our data practices.
9. Intellectual Property
The Service and all of its components — including software, design, text, graphics, logos, and trademarks — are the exclusive property of iDocThis Inc. and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use iDocThis's intellectual property other than as necessary to use the Service as intended.
10. Third-Party Services
The Service relies on third-party infrastructure providers (such as Microsoft Azure for file storage). We are not responsible for the availability, performance, or actions of these third-party services. Your use of any third-party services integrated with or linked from the Service is subject to those services' own terms and policies.
11. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IDOCTHIS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS (USD $100).
13. Indemnification
You agree to indemnify, defend, and hold harmless iDocThis Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. You may terminate your account at any time by contacting us at support@idocthis.com.
Upon termination, your right to use the Service immediately ceases. We will handle your data as described in our Privacy Policy. Sections 5, 9, 11, 12, 13, 15, and 16 of these Terms survive termination.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.
16. Changes to These Terms
We reserve the right to update these Terms at any time. When we do, we will revise the "Effective date" at the top of this page. If we make material changes, we will notify you by email or by a prominent notice within the Service. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.
